About Solomon
Solomon Penny is a Partner and Head of our Corporate & Commercial and Property & Development practices. He holds a Bachelor of Commerce and Bachelor of Laws from The University of Auckland and is admitted to practice in New Zealand, Victoria (Australia) and the High Court of Australia.
Solomon brings a strategic, results-focused approach to legal practice, with broad expertise spanning corporate and commercial law, property development, and highly regulated areas such as payments and consumer law. He has worked in both private practice and in-house legal roles, advising a diverse client base including ASX-listed companies, SMEs, startups, property developers, and healthcare providers.
A determined and pragmatic negotiator, Solomon is dedicated to achieving excellent commercial outcomes for his clients. He has particular expertise in negotiating complex commercial contracts, especially in the context of SaaS and other technology-driven business models.
Areas of Expertise
Property & Development
Commercial and residential property transactions, including sale and acquisition advice, due diligence, project structuring, leasing, and conveyancing.
Corporate & Commercial
Preparation and negotiation of a wide range of commercial and corporate agreements, including shareholder agreements, joint venture agreements, service agreements, terms and conditions, franchising arrangements, and licensing agreements.
Regulatory Compliance
Commercial, corporate, and regulatory advice, including compliance with the Corporations Act, ASIC requirements, the Competition and Consumer Act, and the Privacy Act.
Notable Experience
- Acting for numerous residential property developers in relation to their development and acquisition activities across Victoria.
- Advising a major national pharmacy franchise on multiple pharmacy acquisitions across Australia.
- Advising a leading high-growth startup accelerator on general corporate law matters, including in relation to its investment activities in early stage technology companies.
Most recently, Solomon served as Legal Counsel for a multinational provider of integrated payments and market-leading business management software and services. In this role, he provided legal support across all areas of the business, including:
- Extensive commercial contract negotiations, including with respect to the business’ key enterprise-level customers, government partners, and in support of its expansion into the UK market
- Legal and contractual support for product development, payments, sales, and marketing teams
- Privacy and data risk management
- Advising on statutory, regulatory, and policy developments
- Managing general corporate and commercial transactions
- Overseeing corporate and regulatory compliance
- Developing the business’ internal legal and regulatory infrastructure
Outside of legal practice, Solomon enjoys playing chess, travelling, and spending time on the golf course.
