About Solomon
Solomon Penny is a Partner and Head of our Corporate & Commercial and Property
& Development practices. He holds a Bachelor of Commerce (economics) and a
Bachelor of Laws from the University of Auckland and is admitted to practice in New
Zealand, Victoria (Australia), and the High Court of Australia.
Solomon brings a strategic, results-focused approach to legal practice, with expertise
spanning corporate and commercial law, intellectual property, and highly regulated
sectors such as payments and consumer law. He has advised ASX-listed
companies, SMEs, venture studios, technology scale-ups, and hospitality
businesses.
A determined and pragmatic advisor, Solomon focuses on delivering practical and
commercially sound outcomes for his clients. He has particular expertise in
negotiating and structuring complex commercial arrangements in the context of
SaaS, AI, intellectual property, and other technology-driven business models.
Areas of Expertise
Commercial
Drafting, negotiating and advising on a wide range of commercial agreements, including Saas/product terms and conditions, licensing agreements, joint venture agreements, service agreements and franchising arrangements.
Corporate
Drafting, negotiating and advising on a variety of corporate and governance documents, including SAFE Notes and other equity instruments, shareholder and subscription agreements, share sale and purchase agreements, and other transaction documents.
Regulatory Compliance
Providing commercial, corporate, and regulatory advice, including compliance with the Corporations Act, ASIC requirements, the Competition and Consumer Act, and the Privacy Act.
Notable Experience
- Acting for a leading venture studio on general corporate and commercial matters, including its investment structuring in Australian AI and technology scale-ups.
- Advising a leading AI report-writing assistant for Australian psychologists on foundational legal matters, including licensing, data hosting and security, AI processing, and compliance with AHPRA and Australian Consumer Law requirements.
- Acting for a hospitality software venture on the development of its user app and privacy framework
- Act for a leading restaurant group on corporate and operational structuring.
Previously, Solomon served as Legal Counsel for a multinational provider of
integrated payments and business management software and services. In this role,
he advised across all business areas, including:
- Negotiating complex commercial contracts with enterprise customers,
government partners and new market entrants. - Legal and contractual support for product development, payments, sales, and
marketing teams - Managing general corporate and commercial transactions
- Privacy and data risk management
- Advising on statutory, regulatory, and policy developments
Outside of legal practice, Solomon enjoys playing chess, travelling and spending
time on the driving range.
